These Terms and Conditions (“Terms”) govern your access to and use of the Shuttle Genie platform, website, widgets, mobile interfaces, APIs, and any related services (collectively, the “Services”) provided by Shuttle Genie (Pty) Ltd (“Shuttle Genie”, “we”, “us”, or “our”). By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
1. Definitions
- “Customer” means any person or entity that requests, books, or pays for transport through the Services.
- “Operator” means any licensed shuttle or car-hire company that uses the Services to manage quotes, bookings, fleet, and payments.
- “Account” means the registered user profile created by an Operator or its authorised personnel.
- “Content” means any data, text, images, pricing rules, vehicle information, or other material uploaded, entered, or transmitted via the Services.
2. Eligibility & Account Registration
You must be 18 years or older and legally capable of entering into a binding contract to use the Services. Operators must hold all licences, permits, and insurance required by South African law. You agree to provide accurate, current, and complete information during registration and to keep such information updated.
3. Services & Licence
Shuttle Genie grants Operators a limited, non-exclusive, non-transferable licence to access and use the Services for internal business purposes during the subscription term. This licence does not permit resale, reverse engineering, or creation of derivative works.
4. Pricing & Payment
Subscription fees are billed monthly in advance via debit order or card. All amounts are quoted in South African Rand and exclude VAT unless stated. Late payments may incur interest at 2% per month. Downgrade or cancellation is effective at the end of the current billing cycle.
5. Acceptable Use
You may not:
- Upload or transmit any Content that is unlawful, harmful, or infringes third-party rights.
- Use the Services for fraudulent or misleading quotes or bookings.
- Interfere with or disrupt the integrity or performance of the Services.
6. Data & Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference.
7. Intellectual Property
All software, trademarks, logos, and other intellectual property in the Services are owned by Shuttle Genie or its licensors. You retain ownership of your Content; however, you grant us a worldwide, royalty-free licence to host, use, and display such Content solely for the operation of the Services.
8. Disclaimer of Warranties
The Services are provided “as is”. While we strive for 100 % uptime and accuracy, we do not warrant that the Services will be uninterrupted, error-free, or fit for every purpose.
9. Limitation of Liability
To the maximum extent permitted by law, Shuttle Genie’s aggregate liability for any claim arising out of these Terms shall not exceed the fees paid by you in the 12 months preceding the event giving rise to liability.
10. Indemnification
You agree to indemnify and hold harmless Shuttle Genie, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, your Content, or your breach of these Terms.
11. Termination
We may suspend or terminate your Account if you violate these Terms or if required by law. Upon termination, your right to access the Services ceases immediately.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of South Africa. Any dispute shall first be mediated in Johannesburg; failing resolution, it shall be submitted to confidential arbitration under the rules of the Arbitration Foundation of South Africa.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use after such notice constitutes acceptance.
